Elon Musk Says He’s Terminating His Purchase Of Twitter – But Legally He Can’t

After today, Elon Musk may want to change his last name to Mush, because his self-hyped proffer to buy Twitter is now on the rocks, and his attempt to extract himself from the deal is likely to cost him a cool fortune and may not happen at all, according to legal experts.

On Friday, attorneys for Musk filed paperwork with the Securities and Exchange Commission to void the $44 billion deal. They also sent a letter to Twitter’s board of directors announcing termination of the deal. Musk and his lawyers maintain that he has every right to pull the plug on acquiring the social media giant because the company hasn’t provided enough information about the company, writing:

“Sometimes Twitter has ignored Mr. Musk’s requests, sometimes it has rejected them for reasons that appear to be unjustified, and sometimes it has claimed to comply while giving Mr. Musk incomplete or unusable information.”

Twitter was in no mood to debate Musk and made it clear they will force him to go through with the deal by taking him to court, with board chairman Bret Taylor noting:

“The Twitter Board is committed to closing the transaction on the price and terms agreed upon with Mr. Musk and plans to pursue legal action to enforce the merger agreement. We are confident we will prevail in the Delaware Court of Chancery.”

Legal experts, the Washington Post reports, agree with Twitter that Musk cannot just void the deal and get off the hook for the $44 billion he pledged to pay:

His April agreement to buy the company included a commitment to go through with the acquisition unless there’s a major change to the business, and legal experts say nothing has happened to meet that threshold. Musk has previously threatened to scuttle the deal if Twitter didn’t give him more data to run his own analysis on how many spam bots it has, while Twitter has said it can’t give up personal information on its users like their names, emails and IP addresses, which it uses to come up with its own bot numbers.

Musk, according to those familiar with corporate law, agreed to buy the company as is, not some version of it after it met certain conditions that were never part of the original agreement.

Some suspect the real reason for Musk’s reluctance to complete the purchase is that he no longer has the capital needed due to significant losses of Tesla shares on the stock market. Those shares were a major portion of the money Musk put down to guarantee he was serious about the acquisition.

In the first six months of 2022, Musk’s wealth has plunged by $62 billion, and further reversals in the Dow Jones and Nasdaq indexes could more than double that amount by the end of the year.

Elon Musk is starting to sound like he’s almost as bad of a businessman as former president Donald Trump. But then again, no one is that incompetent.

Mathematically-Challenged Nikki Haley Humiliates Herself With Idiotic Attack On President Biden 

While it has long been speculated that former South Carolina governor and UN Ambassador Nikki Haley will likely seek to be the Republican presidential nominee in 2024, she proved today that her in a battle of wits with any opponent, she’d be seriously overmatched.

Haley has an accounting degree from Clemson University, and yet she couldn’t even manage the most basic math when it came to a posting she made on Twitter and later deleted after thousands of respondents pointed out her glaring error.

Here’s a screenshot of Haley’s tweet, which will live in infamy:

Even if you didn’t major in math (or accounting), it should be easy to spot the incredibly bad mistake found in Haley’s fuzzy numbers. You don’t take the percentage of price increase in each item, add them, and then arrive at a total percentage. That’s the sort of thing that gets you a low score on the SAT, which makes you wonder what Nikki’s scores were.

In no time, social media was on the verge of laughing uncontrollably while simultaneously giving Haley a lesson in 6th grade mathematics.

Since it’s pretty damn obvious that Nikki will never be president, some Republican will probably suggest she needs to be named Secretary of Education.

Marjorie Taylor Greene Tweets Out A Disgusting Threat At Cassidy Hutchinson

Near then end of today’s January 6 House Select Committee hearing, we learned that there have been efforts to exert influence on witnesses who appear before the panel.

Rep. Liz Cheney (R-WY), who serves as vice chair of the committee, announced:

“The easy course is to hide from the spotlight and to deny what happened. We have evidence of one particular practice that raises significant concern.

“Our committee commonly asks witnesses connected to Mr. Trump’s administration or campaign whether they’ve been contacted by any of their former colleagues or anyone else who attempted to influence or impact their testimony.”

Cheney then read one example of a communique that had been sent to a witness:

“What they said to me is, as long as I continue to be a team player, they know I’m on the right team … I’m protecting who I need to protect, you know, I’ll continue to stay in good graces in Trump World. And they have reminded me a couple of times that Trump does read transcripts and just to keep that in mind as I proceeded through my depositions and interviews with the committee.” 

In another example, someone called a witness and said an unnamed person “wants me to let you know that they are thinking about you. He knows you’re loyal, and you’re going to do the right thing when you go in for your deposition.”

Clearly, what Cheney was hinting at was witness tampering, which is a very serious federal crime.

And now we have another example of potential witness tampering, this time aimed directly at today’s star witness, former Trump administration official Cassidy Hutchinson.

The threat aimed at Hutchinson comes from none other than Rep. Marjorie Taylor Greene (R-GA), who sent this tweet:

“Cassidy Hutchinson lied and the@January6thCmte held a special hearing today to broadcast her lies. In ‘23, every single one of them need to be held accountable for what they are putting Pres Trump, his admin, & Republicans through on the people’s dime.

“Enough of this.”

Be sure and note the reference Greene made to a tweet from right-wing lugnut Jack Posobiec, which suggests that Trump couldn’t have possibly reached into the front seat of the limo the way Hutchinson alleged.

However, neither Posobiec or Greene paying very close attention, as another person reminded them regarding the limo:

Let’s not forget just how rich it is that Greene is accusing someone of lying, something both she and Donald Trump do more often then they exhale.

And then there’s the matter of Greene requesting a pardon from Trump as he was preparing to leave office. Who needs a pardon? A guilty person, and thanks to Cassidy Hutchinson we know that Greene and others Republicans in Congress were begging to be pardoned.

But the threat from Greene to Hutchinson and others can clearly be seen as witness tampering, and she damn sure won’t be getting any pardons before 2025 at the soonest if she’s charged and convicted.

So thanks, Margie. You just provided all the evidence needed to nail your trifling ass to the wall and send you off to prison.

Gaetz And Greene Send Out Frantic Tweets After Jan. 6 Committee Proves They Wanted Pardons

Shortly after the January 6 House Select Committee presented testimony that six House Republicans asked failed former president Donald Trump for pardons in the final days of the Trump administration, two of the six named — Reps. Matt Gaetz (FL) and Marjorie Taylor Greene (GA) — took to Twitter and began making posts that only succeeded in proving just how terrified they are of what the future holds for them.

What might that future entail? According to Norm Eisen, who served as co-counsel for the House Judiciary Committee during Trump’s first impeachment trial, Gaetz and Greene are facing 15 years in jail and disqualification from ever holding public office:

Such cold hard facts clearly triggered Gaetz and Greene.

Boebert Goes On Twitter Rant About The Second Amendment – And  Misspells America

Once again today, Rep. Lauren Boebert (R-CO) managed to reaffirm that she’s not even as bright as a 5th grader when it comes to something as basic as how you spell the word “America.”

Boebert was ranting against a compromise piece of legislation that would make some progress on sensible gun control when she managed to prove her ignorance:

Not only is America spelled wrong, but Bobo’s grasp of American history is also deeply flawed. There have been numerous compromises on the Constitution over the years, including new amendments such as the 19th Amendment which gave women the right to vote and hold public office. If it wasn’t for compromise, Boebert would be relegated to second-class status, much the same way black Americans once were.

Also, the courts have repeatedly ruled that the Second Amendment is not absolute. After all, it’s illegal to own a fully automatic weapon. Also, you can’t legally keep a grenade launcher in your house.

In case you were wondering, this isn’t the first time Dodo Bobo has misspelled the simplest of words.

Back in April, the congresswoman even fouled up when it came to spelling Mickey Mouse:
